Introduction These Vendor Terms and Conditions ("Terms") govern the relationship between STUNDAA ("Platform", "we", "our", or "us") and any individual, business, organization, reseller, agency, or service provider ("Vendor", "you", or "your") who registers, accesses, or uses the STUNDAA platform to offer products, services, digital solutions, communication services, software, subscriptions, or other commercial offerings. By registering as a Vendor, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and all applicable policies published by STUNDAA. --- ## 2. Vendor Eligibility To become a Vendor, you must: • Be at least 18 years old. • Have full legal authority to enter into binding agreements. • Provide accurate, complete, and current registration information. • Comply with all applicable laws and regulations in your jurisdiction. • Maintain all licenses, permits, registrations, and authorizations required for your business activities. STUNDAA reserves the right to verify Vendor information at any time. --- ## 3. Vendor Responsibilities Vendors are solely responsible for: • The legality, quality, accuracy, and delivery of their products or services. • Customer support and after-sales obligations. • Pricing, taxation, invoicing, and regulatory compliance. • Protecting customer information and maintaining adequate security controls. • Ensuring all content submitted to the Platform is truthful and non-misleading. Vendors shall not engage in fraudulent, deceptive, abusive, misleading, or unlawful conduct. --- ## 4. Compliance with Meta and WhatsApp Policies Where Vendors utilize services connected to the WhatsApp Business Platform, Meta Platforms, Facebook, Instagram, Messenger, or related communication technologies, Vendors must comply with all applicable Meta and WhatsApp policies, including but not limited to: • WhatsApp Business Terms. • WhatsApp Business Messaging Policy. • WhatsApp Commerce Policy. • Meta Platform Terms. • Meta Developer Policies. • Meta Technology Provider Requirements. Failure to comply may result in immediate suspension or termination of Vendor access. Meta and WhatsApp require businesses to obtain proper user consent, use approved message templates where required, respect messaging limitations, and avoid prohibited content or spam. Prohibited Activities Vendors shall not: • Send unsolicited, unauthorized, or spam communications. • Use purchased, scraped, rented, or harvested contact lists. • Promote illegal products, services, or activities. • Engage in phishing, fraud, impersonation, or deceptive practices. • Violate intellectual property rights. • Distribute malware, harmful code, or malicious software. • Attempt to bypass, circumvent, or interfere with security measures. • Use the Platform for surveillance, unauthorized monitoring, or unlawful data collection. • Create duplicate accounts to evade restrictions or enforcement actions. • Engage in any activity that may violate Meta, WhatsApp, or other third-party platform policies. Customer Consent and Communications Where communications are sent through WhatsApp, Meta, or similar channels, Vendors must: • Obtain valid user consent before initiating communications. • Maintain records of such consent. • Honor opt-out requests promptly. • Send only relevant and expected communications. • Respect applicable customer communication windows and messaging rules. Failure to maintain proper consent may result in account suspension or termination. Stundaa --- ## 7. Vendor Content Vendors retain ownership of their content. By submitting content to STUNDAA, you grant STUNDAA a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and promote such content solely for operation and promotion of the Platform. STUNDAA reserves the right to remove content that violates these Terms or applicable laws. --- ## 8. Fees and Payments Vendor fees, commissions, subscriptions, transaction charges, or service fees shall be disclosed separately through the Platform. Vendors agree to: • Pay all applicable fees. • Maintain valid payment information. • Accept deductions for refunds, chargebacks, disputes, taxes, or penalties where applicable. Failure to satisfy payment obligations may result in suspension. --- ## 9. Taxes Vendors are solely responsible for determining, collecting, reporting, and remitting all taxes associated with their activities. STUNDAA does not provide tax advice and shall not be responsible for Vendor tax obligations. --- ## 10. Data Protection and Privacy Vendors must: • Process personal data lawfully. • Implement reasonable administrative, technical, and organizational safeguards. • Limit access to authorized personnel. • Report data breaches without undue delay. • Comply with applicable privacy and data protection laws. Customer data obtained through STUNDAA may only be used for legitimate business purposes directly related to services provided. --- ## 11. Platform Monitoring STUNDAA may monitor Vendor activities to: • Ensure compliance. • Investigate complaints. • Prevent fraud and abuse. • Protect customers and platform integrity. Monitoring does not create any obligation for STUNDAA to actively supervise Vendor operations. --- ## 12. Suspension and Enforcement STUNDAA may suspend, restrict, disable, or terminate Vendor access immediately if: • The Vendor violates these Terms. • The Vendor violates Meta or WhatsApp policies. • Fraudulent or suspicious activity is detected. • Customer complaints indicate material misconduct. • Regulatory or legal obligations require action. • Continued operation presents reputational, security, legal, or compliance risks. No refund shall be required where termination results from Vendor misconduct. --- ## 13. Limitation of Liability To the fullest extent permitted by law: STUNDAA shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption. STUNDAA's aggregate liability shall not exceed the total fees paid by the Vendor during the twelve (12) months preceding the event giving rise to the claim. --- ## 14. Indemnification Vendor agrees to defend, indemnify, and hold harmless STUNDAA, its directors, officers, employees, affiliates, partners, and agents from any claims, losses, liabilities, damages, costs, or expenses arising from: • Vendor products or services. • Vendor content. • Regulatory violations. • Data privacy violations. • Intellectual property disputes. • Violations of Meta, WhatsApp, or third-party platform policies. --- ## 15. Intellectual Property All Platform software, systems, trademarks, branding, designs, technology, documentation, and related intellectual property remain the exclusive property of STUNDAA or its licensors. No rights are transferred except as expressly granted. --- ## 16. Service Availability STUNDAA does not guarantee uninterrupted, error-free, or continuous operation. The Platform may be modified, updated, suspended, or discontinued at any time without prior notice. --- ## 17. Third-Party Services The Platform may integrate with third-party services including Meta, WhatsApp, payment processors, cloud providers, and communication platforms. STUNDAA is not responsible for outages, restrictions, policy changes, or actions taken by third-party providers. --- ## 18. Governing Law These Terms shall be governed by and interpreted in accordance with applicable laws without regard to conflict of law principles. Any disputes shall be resolved through negotiation first and, where necessary, through competent courts having jurisdiction over STUNDAA. --- ## 19.
